Timing the Tax Part

A better approach starts before the ink dries on the sale agreement. Tax timing matters. If the sale closes in December, splitting the payout across two tax years, some in December and others in January, can keep the seller out of a higher bracket.

Municipal bonds also come up; a former restaurant chain owner might allocate a portion of proceeds to California municipal bonds, earning interest that’s exempt from both state and federal taxes.

Opportunity zone funds work similarly. Someone who sells a retail business could reinvest capital gains into a designated opportunity zone property in a city like Detroit or Birmingham, deferring taxes and potentially reducing them further if the investment holds for 10 years.

Offsetting Gains

Tax-loss harvesting rounds this out. If part of a portfolio includes underperforming tech stocks, selling them at a loss can offset gains from the business sale, and the seller can then reinvest in a similar but not identical fund.

Bringing in a Fiduciary

A fiduciary advisor is legally required to act in the client’s interest, not their own commission. A dentist selling their practice for $2 million might work with a fiduciary who coordinates with a CPA on quarterly estimated taxes and an estate attorney on trust structures, rather than leaving these elements disconnected.
